Steven G. Gladstone joins the Nashville office after a long career in a widely varied practice and as a career entrepreneur. Essentially as a "business lawyer" as he puts it, he brings his experience in the legal fields outlined below and focuses on augmenting the firm's area  practice with a wide perspective of client matters and client satisfaction.  Steven Gladstone has been an entrepreneur himself since inception of his own law firm, and has started and managed a variety of business ventures in the United States and abroad.

In the earliest part of his career, he practiced extensively as a litigator in state and federal courts from his own 2-attorney firm in the Midwest. His most recent and extensive focus, experience and  reputation have come from representing a wide variety of clients as a transactional law advisor, negotiator and closer with emphasis in intellectual property matters, including a concentration in entertainment in the industries of music, motion pictures, radio and syndication, and literary works.  Within  the scope of his IP client services, he advises on the acquisition, protection and exploitation of those properties (including  copyright, designs/merchandise, trademark, trade secrets, confidential information) and has developed a reputation of assisting entrepreneurs in start up and growth companies.  For many years Mr. Gladstone has offered his new and expanding business clients an entity formation law platform, forming limited liability entities and preparing those companies with documentation for the acquisition of capital.

He has also been very active in his representation of C-level employees in multinational IP companies in employment contract negotiations and completion, both in new hires, transitions to other companies and in termination packages.  He has guided his clients in various matters in international transactions, from the European Union to the Pacific Rim.

As a function of his entity work he has written numerous business plans and Private Placement  Memoranda to assist his clients in attracting private capital.   Among some of the "firsts" in his career, he engineered first investment banking/law firm/entrepreneur relationship in Nashville and founded  a strategic partnership with an East Coast investment banking firm.

Practice Areas


Through his employment law practice, Mr. Gladstone has represented key companies in the music industry and other executives as well as numerous entrepreneur employees in negotiating employment and termination/settlement agreements. He has the required knowledge and utilization of non-competition, non-disparagement and related legal issues, EBITDA-based compensation plans for C-level executives, vesting in bonus systems and ownership in entity and related matters.

International Business

Mr. Gladstone practiced law with the law firm Rycken & deCallatay, Brussels, Belgium, French language.  Former Vice-Chairman, ABA International Legal Exchange ("ILEX") program. While there, he gained experienced in import-export law, employment statute analysis and translation (French to English), copyright and trademark issues. He is a member of the International Association of Entertainment Attorneys.

He has been U.S. counsel for international entertainment and intellectual property companies, conducting business representation and consulting for Western Europe, United Kingdom, Scandinavia and Brazil.


Mr. Gladstone is a member of the firm's Transaction Advisory Services practice group. He has extensive experience in all aspects of transactional matters focusing on creation, recognition and exploitation of intellectual properties. He has designed, drafted, negotiated and closed recording, music publishing, artist management, sub-publishing, sound recordings, trademark white-label software licensing and other IP licensing agreements. He has worked on acquisitions of copyrights in musical compositions, sound recordings and audio visual and literary properties globally. And he has handled licensing of all configurations of intellectual property, intellectual property transfers, trademark and copyright protection measures and registration. Recently, he has worked in television and motion picture matters, partnership formation, acquisition of intellectual property rights, planning and structuring film production company for a famous actor.
