Andrew Hazen is a Partner in Hall Booth Smith, P.C.’s Atlanta office and focuses his practice on corporate, transactional, and real estate matters. He also serves as outside general counsel to several small and mid-sized businesses in the agriculture/food, commercial real estate, construction, healthcare, insurance, and manufacturing industries.  Andrew assists clients with asset purchases and divestitures, corporate formation and restructuring, labor & employment matters, leasing, OSHA compliance and investigations, as well as business and real estate litigation. He is admitted to practice in all Georgia State and Superior Courts, the Georgia Court of Appeals, the Georgia Supreme Court, and the U.S. District Courts for the Northern, Middle, and Southern Districts of Georgia.

Andrew received his Juris Doctor from Georgia State University College of Law, where he graduated cum laude and with highest pro bono distinction. He served on the Georgia State University Law Review and was awarded CALI Excellence for the Future Awards in his Research, Writing and Advocacy, Contracts, Litigation, and Security Interests and Liens courses. Prior to law school, Andrew received his Bachelor of Arts in Religion from Davidson College and attended Emory University’s Candler School of Theology for Graduate Studies in Theological Ethics.

EXPERIENCE

Transactions:

• Lead counsel representing the property owner and an operating company in the sale of an 80-bed skilled nursing facility, including obtaining FHA approval for the sale and assisting with other regulatory approvals and facility licensure issues.

• Lead counsel representing corporate parent in the sale of a privately-held construction supply company to a regional competitor.

• Co-Counsel representing a senior housing investor in the acquisition of seven (7) assisted living and skilled nursing facilities throughout North Georgia., including acquisitions of real estate and operational assets.

Real Estate/Landlord-Tenant:

• Lead counsel representing an equipment manufacturer in the acquisition of a warehouse facility in Forsyth County, Georgia, including environmental and zoning due diligence, negotiation of drainage and access easements with adjoining landowners, and a lease termination with the current tenant of the facility to allow for facility expansion.

• Lead counsel representing a home products manufacturer and distributor in the negotiation and drafting of warehouse leases in five (5) different states, totaling over 500,000 square feet, including negotiating the landlord’s remodel of the office and showroom facilities in each facility and securing rights of first offer and extension and expansion rights for the client.

• Lead counsel on over 50 commercial landlord/tenant disputes, including dispossessory actions (evictions), landlord/tenant collections, and business litigation.

Outside General Counsel:

• Serve as outside general counsel to small and mid-sized businesses in the agriculture/food, healthcare, insurance, and manufacturing industries, advising on employment issues, contract disputes, and regulatory compliance.

• Lead counsel representing assisted living facilities, skilled nursing facilities, and manufacturers in OSHA investigations, including Covid-19 related inspections and investigations, as well as EEOC complaints and OSHA retaliation complaints.
